These Terms of Service govern your use of AffiliateHQ, the affiliate program management software operated by Matt McWilliams Consulting, Inc. Please read them carefully. By creating an account or using the service, you agree to these terms.
By creating an account, clicking to accept these terms, or using AffiliateHQ in any way, you agree to be bound by these Terms of Service and by our Privacy Policy. If you are using AffiliateHQ on behalf of a company or other organization, you confirm that you have the authority to bind that organization, and "you" in these terms refers to that organization.
You must be at least 18 years old to use AffiliateHQ.
AffiliateHQ is software that helps you run affiliate programs. It includes tools for tracking clicks, leads, and sales, calculating commissions, recruiting and managing affiliates, communicating with them, and reporting on performance. We may add, change, or remove features over time as we improve the product.
We provide the software. You are responsible for how you run your affiliate program, including the offers you make, the commissions you promise, and the way you treat your affiliates.
You are responsible for keeping your login credentials secure and for everything that happens under your account. Tell us right away if you believe someone has accessed your account without permission. We strongly recommend turning on two-factor authentication, which is required for business owner accounts.
You agree to give accurate account information and to keep it current.
AffiliateHQ is offered on paid subscription plans. The price, billing period, and what each plan includes are shown at the time you subscribe. We bill in advance on a recurring basis (monthly or annually, depending on the plan you choose), and your subscription renews automatically at the end of each billing period until you cancel.
You authorize us, through our payment processors, to charge your payment method on file for each renewal. If a payment fails, we may retry the charge and may suspend your account until payment succeeds.
If you subscribe during the founder pricing period, your rate is locked in for as long as your subscription stays active and continuous. We honor that founder rate even when our standard prices rise later. This commitment applies for as long as you remain subscribed without interruption. If you cancel and later start a new subscription, the founder rate no longer applies and standard pricing in effect at that time will apply. We may change standard (non-founder) pricing at any time, and any change to your founder rate, if one is ever required, will be communicated to you in advance.
You can cancel your subscription at any time from your account settings. If you cancel, your account stays active through the end of your current billing period, and you keep access until that period ends. We do not provide prorated refunds for the unused part of a billing period unless required by law.
Payments already made are non-refundable except where we state otherwise in writing or where the law requires a refund.
You agree not to use AffiliateHQ to:
You are responsible for the conduct of your affiliates within your program. We provide fraud-detection tools to help, but the final decisions about your affiliates are yours.
When you use AffiliateHQ, you collect and store information about your affiliates, including their names, contact details, payment information, tax documents, and performance data. As between you and us, that data is yours. We process it on your behalf so that we can provide the service.
You are responsible for having a lawful basis to collect and use your affiliates' information, for honoring their privacy rights, and for giving them any notices the law requires. Our handling of personal information is described in our Privacy Policy.
AffiliateHQ calculates commissions and can help you pay your affiliates, including through connected services like Stripe and PayPal. You are responsible for actually paying your affiliates what you owe them, for the accuracy of your commission settings, and for collecting and reporting any tax documents the law requires.
We are not a party to the agreement between you and your affiliates, and we are not responsible for disputes about commissions or payments between you and them.
AffiliateHQ works with third-party services to deliver parts of the product, including payment processing, email delivery, and hosting. Your use of those services may also be subject to their own terms. We are not responsible for third-party services, but we choose them carefully and describe the main ones in our Privacy Policy.
AffiliateHQ, including its software, design, branding, and content we create, is owned by Matt McWilliams Consulting, Inc. and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the service while your subscription is active and you are following these terms. You may not copy, modify, reverse engineer, or create derivative works from the software except where the law expressly allows it.
Anything you upload or create in your account, your logos, your copy, your affiliate data, remains yours. You grant us the limited right to host and process it so we can run the service for you.
We work hard to keep AffiliateHQ available and reliable, but we do not guarantee uninterrupted service. We may need to perform maintenance, make updates, or address issues that temporarily affect availability. We provide support by email at support@mattmcwilliams.com.
AffiliateHQ is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be error-free, uninterrupted, or that it will meet every requirement you have, and we do not guarantee any particular results from running an affiliate program.
To the fullest extent permitted by law, Matt McWilliams Consulting, Inc. and its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of AffiliateHQ.
To the fullest extent permitted by law, our total liability for any claim arising out of or related to the service will not exceed the amount you paid us for the service in the twelve months before the event that gave rise to the claim.
You agree to indemnify and hold harmless Matt McWilliams Consulting, Inc. and its owners, employees, and contractors from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the service, your affiliate program, your treatment of your affiliates, your content, or your violation of these terms or any law.
You may stop using AffiliateHQ and cancel at any time. We may suspend or terminate your account if you violate these terms, if your payment fails, if your use poses a risk to the service or to others, or if we are required to by law. Where it is reasonable to do so, we will give you notice and a chance to fix the problem first.
If your account is terminated, your right to use the service ends. Provisions that by their nature should survive termination (such as intellectual property, disclaimers, limitation of liability, and indemnification) will survive.
We may update these terms from time to time. When we make material changes, we will update the "last updated" date above and, where appropriate, give you additional notice. Your continued use of AffiliateHQ after changes take effect means you accept the updated terms.
These terms are governed by the laws of the State of Indiana, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to these terms or the service will be resolved in the state or federal courts located in Indiana, and you consent to the jurisdiction of those courts.
